Proforma of Terms & Conditions for Distributors

 AB Global is the trading subsidiary of AB Footstyle Pvt Ltd and acting as a separate concern as per law.

Distributor Responsibilities

1. The distributor is appointed to sell agreed AB Global products in the agreed territory. Being a distributor does not automatically entitle the distributor to sell all products shown on the AB Global or AB Footstyle website/printed brochure.

2. The distributor accepts the appointment and agrees to represent the interests of AB Global and its AB Global marketing division within the terms of the agreement.

3. At the discretion of AB Global, products, prices and payment terms may be changed from time to time by amendment, deletion or addition. Where reasonably possible the distributor will be notified in advance with at least 21 days notice.

4. The distributor shall promote and sell agreed AB Global products and use its best efforts to maximize the quantity sold.

5. The distributor agrees to maintain or employ adequate technical staff to maintain a level of expertise necessary to demonstrate, promote and support the sale and use by customers of the products.

6. The distributor agrees to treat as confidential all information supplied by AB Global and not to use this information for any purpose other than promoting and selling the products.

7. The distributor agrees not to sell or promote competitive products and undertakes not to substitute alternative products for AB Global products following customer enquiry. Such practice is considered unethical and future continuation of business will be immediately terminated and other suitable Distributor will be appointed in replace.

8. The Distributor should possess required Vat, CST registration and or other Govt registrations as applicable in their particular State. By no means AB Global will be held responsible for not possessing any of such necessary govt or municipal registrations. 9. The Distributor should provide AB Global with all necessary forms and papers such as C-Form, Waybill etc as and when required by AB Global. Any expenses incurred by AB GLOBAL, due to late in receiving these papers, will be added to the said Distributor in the next invoice as an extra charge.

10. The Distributor should mention in their invoice to the Retailer the name and logo of AB Global as designed and supplied by AB Global at the time of appointment of Distributor.

 

AB Global Responsibilities

1. AB Global will accept orders from distributors and use its best efforts to deliver them within a reasonable time.

2. AB Global will provide support and assistance to the distributor by telephone or fax or email, printed brochures, new samples as may reasonably be required to promote and support the products.

3. AB Global will furnish the distributor with sales leads where appropriate and if available. Orders AB Global will accept orders by fax, email or hard copy. Usually acknowledgement of orders will be confirmed within 24 hours of receipt by email.

Delivery of product is only undertaken to the nearest point of delivery of the transporters godown in Distributor’s city or town. The said Distributor will make all necessary arrangements to lift the consignment to his own godown and at his own cost.

AB Global will not be able to accept orders for delivery direct to the Retailers.

 

Payment

Payment terms are agreed with each distributor.

AB Global do not accept Letter of Credit or Cash Against Documents.

Payment methods shall be by the following method:

Payment shall be made in full in advance by Bank Draft or direct Bank deposit in the name of AB Global or AB Footstyle Pvt Ltd, whichever applicable at the time of that particular Order and as detailed on proforma invoices from AB Global or AB Footstyle Pvt Ltd send to the Distributor along with the acknowledgement of their particular order.

Under any circumstances, no credit arrangement will be agreed.

In case of the first order from the date of appointment no order less than

* Rs 1,00,000 will be accepted in case of Distributor,

In case of subsequent orders no orders less than

* Rs 50,000 will be accepted from any distributor

Returns

No returns are accepted without prior approval.

In general, returns are only accepted for faulty goods.

No returns can be made without prior Transportation and paperwork information from AB Global. This will include transportation information as well as product valuations. Any unnecessary costs incurred by AB Global by failure of the distributor to follow the Return Instructions, will be billed back to the distributor.

AB Global will issue Credit notes to Distributors in case of any returns, approved and accepted by AB Global.

 

Termination

AB Global reserves the right to terminate any AB Global distributor giving a notice of one month in the event of a gross breach of conditions or in the event of total non-performance on the part of the distributor caused due to unknown or improper reasons.
